Plan with the details in view
The Secretary of State forms the LLC; the Comptroller administers franchise reporting.
The current SOS Form 205 lists a $300 filing fee for a domestic LLC. Prepare the registered agent, registered office and governing-authority information, and identify whether the LLC will be member-managed or manager-managed.
The Comptroller annual franchise reporting deadline is generally May 15, moving to the next business day if it falls on a weekend or holiday. Check the report year, actual company status and applicable exemptions before deciding what must be submitted.
The 2026 instructions say ordinary entities at or below the no-tax-due threshold no longer file a No Tax Due Report but still file the applicable information report. Taxable LLCs generally use the Public Information Report; statutory exemptions need separate review.
How to continue
Preparing the filing comes down to four steps, from your first details to a confirmed filing.
Tell FormLLC whether this is a new Texas LLC or an existing out-of-state entity seeking authority.
Organize the proposed company details, registered office and required governing-authority information.
Bring the company filing record, taxpayer information and reporting notices for the correct year.
Agree accepted support and separate charges. Retain formation and reporting confirmations in the appropriate records.
Before requesting help
Have these details ready before you ask us to help with the filing.
Know which filing you need
The absence of franchise tax due does not by itself settle every reporting obligation.
Discuss tax classification and returns with a qualified adviser where needed. A formation filing is separate from tax registration, licensing and reporting.
Questions answered
Share your company plans and proposed details. FormLLC will confirm the accepted formation support, required inputs and separate state or provider charges before starting.
The current Secretary of State Form 205 lists a $300 filing fee for a domestic LLC Certificate of Formation. FormLLC Standard ($599) includes this filing fee.
The Comptroller administers franchise reporting. Keep the SOS formation or registration record separate from the Comptroller taxpayer record and reporting notices.
The current 2026 instructions remove the No Tax Due Report for ordinary entities at or below the threshold but generally still require the applicable information report. Exempt categories, including qualifying new veteran-owned businesses during the exempt period, need separate review.
The Comptroller identifies the Public Information Report for taxable LLCs. Do not select the Ownership Information Report simply because the business has owners; check the entity category and applicable instructions.
The usual annual deadline is May 15, with the next-business-day rule for a weekend or holiday. Confirm the actual reporting year, status and any applicable exemption or special filing situation.
