Plan with the details in view
Delaware LLCs and corporations follow different filing rules. Official references reviewed 19 October 2026; confirm the current instructions for your entity and tax year.
The state’s LLC formation instructions list a $110 filing fee. FormLLC service fees, registered-agent terms, certified copies and optional expedited handling are separate items to confirm in your order.
Delaware’s current LLC instructions specify a $400 annual tax due by June 1 for the prior year. LLCs do not submit an annual report to the Division of Corporations. Verify the relevant year and any overdue balance.
Domestic corporations generally have a March 1 annual report and franchise-tax deadline. Foreign corporations have separate reporting instructions. Identify the entity category before using a deadline or estimating its charges.
How to continue
Preparing the filing comes down to four steps, from your first details to a confirmed filing.
Tell FormLLC whether you want a new LLC, a corporation, foreign registration or support for an existing record.
Organize the proposed name, authorized person, agent arrangements and relevant existing company information.
Review the selected work, government charges, agent coverage and any separately engaged tax or legal advice.
Retain the filed documents and track the entity’s annual tax or report separately from licenses and other tax returns.

Questions answered
Discuss the proposed LLC, operating locations and work you need. FormLLC will confirm the accepted formation scope, required details, service fee and separate government or third-party charges before you proceed.
The state’s current Certificate of Formation instructions list a $110 filing fee. This is a government charge, not the complete FormLLC package price. Confirm additional services, agent terms and optional document or processing charges separately.
No annual report is required for an LLC by the Delaware Division of Corporations. Its annual tax is a separate obligation; use the LLC instructions rather than the corporation annual report process.
Current Delaware instructions and LLC law specify $400 annually, normally due June 1 for the previous year. Confirm the applicable year, company status and any overdue charges before payment.
Delaware requires a registered agent with a physical street address in the state. Confirm who is providing that service, what it covers and its renewal terms; an agent appointment is not automatically a full office or general mail service.
The LLC annual-tax deadline should not be used for corporations. Delaware’s guidance lists March 1 for domestic corporation annual reports and franchise tax, with separate instructions for foreign corporations.
Do not assume that it does. Where the business operates, its activity and the owners’ circumstances may create other obligations. Review foreign qualification, licensing and tax questions separately before selecting a formation state.
