Plan with the details in view
An LLC pays an annual registration fee; corporate annual reports are a different obligation.
The SCC lists a $100 filing charge for domestic LLC Articles of Organization. Prepare the proposed company and registered-agent arrangements. An LLC already formed elsewhere needs the applicable foreign registration route instead.
An LLC pays the $50 annual registration fee each year after its formation or Virginia registration year. It is due on the last day of the month in which the LLC was organized or registered. This payment is distinct from a corporation’s annual report.
The SCC lists a $25 LLC late penalty. If the annual fee remains unpaid, automatic cancellation occurs on the last day of the third month after the due date. Check current status before treating an overdue company as a routine fee payment.
How to continue
Preparing the filing comes down to four steps, from your first details to a confirmed filing.
Tell FormLLC whether the company is new in Virginia or already formed in another jurisdiction.
Organize registered-agent, principal-office and proposed company information for the requested document.
Bring the SCC entity record, organization or registration month and current fee notice. The SCC assesses the fee two months before it is due.
Agree the accepted filing and separate charges. Retain confirmation and keep the next annual fee reminder with company records.
Before requesting help
Have these details ready before you ask us to help with the filing.
Know which filing you need
Paying the annual fee does not update every aspect of the company.
Annual registration payment does not replace tax filings, operating permissions or internal company records. Identify any separate company update before authorizing work.
