Plan with the details in view
Formation, publication evidence and ongoing statements serve different purposes.
The Department of State lists a $200 domestic LLC Articles filing fee. Confirm this government charge separately from FormLLC services, newspaper charges and other work selected for your company.
Most New York LLCs must publish in two county-clerk-designated newspapers for six consecutive weeks and file the Certificate of Publication with the affidavits within 120 days. The certificate filing fee is $50; newspaper costs are separate.
New York LLCs file a $9 Biennial Statement every two years, during the calendar month of the original Articles or authority filing. Prepare the exact entity name and DOS ID rather than requesting a generic annual report.
How to continue
Preparing the filing comes down to four steps, from your first details to a confirmed filing.
Share the proposed LLC name, county location and mailing details, then confirm the formation support and charges.
Identify who arranges the designated newspapers, collects affidavits and submits the Certificate of Publication. Confirm whether those tasks are included in your order.
New York requires a written operating agreement before, at formation or within 90 days afterward. Keep it with company records; it is not filed with the Department of State.
Keep the accepted filings, publication proof and DOS ID together. Use the original filing month and correct two-year cycle for the statement.

Know which filing you need
The first filing does not complete all of the New York LLC follow-through.
Company statements do not replace applicable tax filings, licenses or other activity-specific requirements. Confirm any separate filing obligations for the actual entity.
Questions answered
Tell FormLLC about the proposed company and work you need. We will confirm the accepted formation support, separate government costs and responsibility for publication and other follow-through.
No. Publication involves newspaper charges and a separate $50 Certificate of Publication filing fee. Provider services and any other selected work are additional items.
The Department of State says failure to publish and file the certificate within 120 days suspends the LLC’s authority to carry on business. Bring the formation date and any publication evidence so the outstanding task can be identified.
The state describes a written agreement adopted before, at formation or within 90 days after the Articles filing. It is an internal company document rather than a Department of State filing.
The relevant Department of State company filing is a Biennial Statement every two years. Other tax or operating obligations are separate from that statement.
Prepare the exact registered company name and DOS ID, the original filing month and the mailing address information relevant to the statement. Confirm the correct reporting cycle before filing.
