Compare the message with the current FinCEN rule before treating an old deadline or a paid solicitation as an obligation.
Foreign-formed companies with U.S. registration

Teams keeping compliance records current
Keep the source, review date, entity facts and assigned next action together so the conclusion is traceable.
Service scope
What does FormLLC help organize for a BOI review?
Connect your company facts with a dated official-source check and a clear next step.
Identify where the legal entity was created and whether a foreign-country entity registered to do business in a U.S. state or Tribal jurisdiction. Separate company origin from an owner’s citizenship or residence.
Check the official FinCEN source against the entity facts and record the review date. Flag uncertain classifications, exemption claims and ownership questions for qualified legal review.
Document the next action supported by the review. If a report is required, confirm the actual deadline, required information and authorized service before preparing any submission.
Retain the review record and any agreed filing confirmation. Identify who handles a future registration, relevant fact change or official notice; ongoing monitoring is included only if ordered.
Readiness checklist
What should you prepare for your BOI requirements review?
Begin with formation and registration details. Sensitive ownership and identity information belongs in the assigned protected workflow.
- Legal entity name and country or jurisdiction of formation
- Formation document and any U.S. registration details
- Registration effective date and evidence of notice
- Exemption facts and any prior BOI report or FinCEN correspondence
- Ownership and control context for professional review where relevant
- Requested review scope and authorized contact; protected records through secure channels
How it works
How do you get a clear BOI next step?
Confirm applicability before preparing or paying for a report.
- 01
Share the entity facts
Provide formation jurisdiction, U.S. registrations and the reason for the review.
- 02
Check the official rule
Review current scope and exemption facts, escalating uncertain legal questions.
- 03
Agree the next action
Confirm whether any filing, additional review or separate service is appropriate.
- 04
Retain the record
Keep the source, date, decision and any authorized submission evidence.
Important limits
Which disclosure requirements are separate from BOI reporting?
A reliable review identifies the authority, entity and task involved.
Earlier BOI instructions can describe requirements that no longer apply. Check the current official source before relying on a deadline, owner definition or update obligation.
FinCEN BOI reporting, state requirements and a financial provider’s ownership checks are separate. Determine which rule or document request you are actually reviewing.
Verify the source of any BOI notice. Do not place passports, tax identifiers or ownership documents in a general contact message or an unverified filing website.
Questions answered
BOI reporting requirements FAQs
Answers about current federal exemptions, foreign entities, deadlines and assistance fees.
Are U.S.-created companies currently required to file a FinCEN BOI report?
Under FinCEN’s final rule effective August 14, 2026, U.S.-created companies are exempt from its BOI reporting requirements. This page was checked against official sources on October 17, 2026. Verify the current FinCEN position before acting on an older filing reminder.
Does a foreign owner make a U.S. LLC a foreign reporting company?
No. A U.S.-created LLC does not become a foreign-formed company just because an owner lives abroad. For the federal BOI review, distinguish the entity’s formation jurisdiction from the owner’s citizenship or residence.
Which foreign companies may still need to report?
An entity formed under foreign-country law that registers to do business in a U.S. state or Tribal jurisdiction may be a reporting company unless an exemption applies. Review the entity and registration facts before deciding what report, information or deadline is relevant.
What does FormLLC’s BOI review support include?
The agreed scope can organize formation and registration facts, record the official-rule checkpoint and identify the next action or legal-review question. Filing assistance and ongoing monitoring are separate unless included. The service should not assume every LLC needs a paid report.
Are U.S. persons’ details still required in a reporting company’s BOI report?
The 2026 final rule exempts reporting companies from reporting BOI for U.S. person beneficial owners and U.S. person company applicants. U.S. person status needs the applicable legal definition; do not infer it solely from a name or mailing address.
What is the filing deadline for a covered foreign entity?
For a reporting company registered on or after March 26, 2025, FinCEN’s guidance specifies an initial filing period of 30 calendar days after notice that registration is effective. Earlier registrations, relief or other facts need separate review; do not apply a historical deadline to every entity.
Does FinCEN charge a BOI filing fee?
There is no fee to file directly with FinCEN. Any FormLLC assistance fee pays for the separate service you order, not a government filing charge. Verify a payment request claiming to come from FinCEN before responding.
Does a BOI exemption remove bank ownership checks or state filings?
No. A financial institution may request ownership and identity records under its own onboarding requirements, and separate state requirements need their own review. A federal BOI conclusion should not be reused as a blanket exemption from every disclosure or compliance task.
